Welcome to LionLens OS. LionLens OS is a product operated by Insta Perf LLC ("Company", "we", "us", "our"), an Iowa limited liability company. These Terms of Service ("Terms") govern your access to and use of our local SEO audit platform (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent that you meet these requirements.

2. Account Responsibilities

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

3. Subscription and Billing

• Paid plans are billed monthly in advance. Fees are non-refundable except as described in our 14-day money-back guarantee or as required by law.
• You may cancel anytime. Cancellation takes effect at the end of the current billing cycle.
• We reserve the right to change pricing with 30 days' notice. Existing subscribers keep their rate for the duration of their current billing period.
• Payment processing is handled by Stripe. By subscribing, you agree to Stripe's terms.

4. Usage Limits

Each plan includes specific monthly limits for audits, locations, and team seats. Exceeding these limits may result in throttling or required plan upgrades. We do not permit sharing accounts or circumventing plan limits.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose.
• Audit websites or businesses you do not own or have explicit permission to audit.
• Attempt to reverse engineer, scrape, or resell the Service without our written permission.
• Use the Service to harm, harass, or mislead other users, businesses, or third parties.
• Submit false business information, impersonate others, or manipulate audits.
• Overload or disrupt our infrastructure, including via automated requests outside of our API (if available on your plan).

6. Intellectual Property

LionLens OS, including all software, algorithms, designs, and content, is owned by us and protected by intellectual property laws. You receive a limited, non- exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of any business information you submit. By submitting it, you grant us a license to use it solely to provide the Service to you.

7. AI-Generated Content

Our Service generates automated analysis including AI-powered competitor research. While we strive for accuracy, AI output may contain errors, inaccuracies, or outdated information. You should verify any critical business decisions made based on our reports.

8. Third-Party Data

Our audits use data from third-party sources including Google Business Profile, Google Places, and PageSpeed Insights. We do not control this data and are not responsible for its accuracy or availability.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee any specific ranking improvements, traffic increases, or revenue results from using the Service.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claims arising out of or related to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

You may terminate your account at any time from your billing settings. We may suspend or terminate your account if you violate these Terms or if we are required to do so by law. Upon termination, access to the Service ends and your data may be deleted after 30 days.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice in the Service. Continued use after changes means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Iowa and the United States of America, without regard to conflict of law principles. Any disputes arising out of these Terms shall be resolved in the state or federal courts located in Iowa.
